Terms of Service

These Terms of Service ("Terms") govern your use of the ChatLedger platform, operated by Casia Growth Lab Ltd. ("Casia Lab", "we", "us"). ChatLedger is a product of Casia Lab, a Nigerian company building software for small businesses ( casialab.com). By signing up for or using ChatLedger, you agree to these Terms. If you are accepting on behalf of a business, you confirm you have authority to bind that business to these Terms.

1. The service

ChatLedger is a software platform that helps small businesses manage WhatsApp customer conversations, send quotes, take payments via Paystack, track orders, and report on sales. It connects to the WhatsApp Business Platform operated by Meta Platforms Ireland Ltd. and to Paystack Payments Ltd. for payment processing.

2. Your account

  • You must provide accurate, current information when signing up.
  • You are responsible for safeguarding your phone, email, and any credentials used to access ChatLedger.
  • You are responsible for all activity under your account, including actions taken by staff you add.
  • You must notify us promptly if you suspect unauthorised access.

3. Acceptable use

You agree not to use ChatLedger to:

  • send unsolicited bulk messages, spam, or any content prohibited by the WhatsApp Business Solution Terms or Meta's Commerce Policy;
  • impersonate another person or business;
  • distribute malware, phishing links, or content that is illegal under Nigerian law;
  • attempt to access another customer's data, reverse engineer the service, or interfere with its operation;
  • resell access to ChatLedger without our written agreement;
  • process the personal data of any individual without a lawful basis.

Violations may result in immediate suspension and may also be reported to Meta, who enforces its own policies independently of us.

4. Your customer data

You retain ownership of all data about your customers. We process that data on your instructions to operate the service, as described in our Privacy Policy. You are the data controller; we are the data processor.

You are responsible for telling your customers what data you hold about them, why, and giving them a way to exercise their data rights. We can help with this — contact us.

5. WhatsApp number connection

To use the messaging features of ChatLedger, you connect a WhatsApp Business number through Meta's Embedded Signup. By doing so:

  • You authorise ChatLedger to act as your Tech Provider for that number.
  • You agree to Meta's WhatsApp Business Solution Terms in addition to these Terms.
  • You acknowledge that the number, once connected, can no longer be used in the WhatsApp Business app on a phone.
  • You can disconnect the number at any time, which we will pass through to Meta.

6. Payments and billing

  • Subscription fees: billed monthly in advance per the plan you select. All prices are in Naira unless stated. We may change prices on 30 days' notice.
  • Customer payments via Paystack: when your customers pay you through ChatLedger, funds are routed via Paystack. If you use a ChatLedger-managed Paystack subaccount, we deduct a platform fee (specified in the plan you select) and Paystack settles the remainder to the bank account you have registered. If you use your own Paystack account, no platform fee is taken on transactions.
  • Refunds: we do not refund partial-month subscription fees. If you believe you have been charged in error, contact chatledger@casialab.com.
  • Cancellation: you may cancel at any time from settings. Your service continues until the end of the paid period; after that, your data is retained for 30 days then deleted (see Privacy Policy).

7. Service availability

We aim to keep ChatLedger running reliably but do not guarantee uninterrupted service. We rely on third-party services (Meta WhatsApp Business Platform, Paystack, Supabase, Railway) whose outages may affect us. We do not currently offer a paid SLA at this stage of the product. If a material outage occurs that affects you, contact us and we will work to make it right.

8. Intellectual property

ChatLedger and all of its software, branding, and content are owned by Casia Growth Lab Ltd. or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the service for the duration of your subscription. You may not copy, modify, or redistribute the platform without our written agreement.

Anything you upload (your business data, customer data, message content) remains yours. You grant us a limited licence to host, process, and transmit it solely to provide the service to you.

9. Termination

You may terminate your account at any time. We may suspend or terminate your account if you breach these Terms (especially section 3), if Meta or Paystack require us to, or if continued service would expose us to legal or reputational risk. Where reasonable, we will give you notice and a chance to fix the issue first.

10. Disclaimers

The service is provided "as is." To the maximum extent permitted by Nigerian law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We do not warrant that the service will be uninterrupted, error-free, or meet every business requirement you have.

11. Limitation of liability

To the maximum extent permitted by law, our total liability to you for all claims arising under these Terms in any 12-month period is limited to the subscription fees you actually paid us in that period. We are not liable for indirect, consequential, or punitive damages, or for lost profits, lost revenue, or lost data, except where such exclusion is prohibited by law.

12. Indemnification

You agree to defend and indemnify ChatLedger against third-party claims arising out of your breach of these Terms, your unlawful use of the service, or your violation of any rights of a third party (including your customers).

13. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms shall be resolved by the courts of Lagos State, Nigeria, unless we mutually agree to arbitration.

14. Changes to these Terms

We may update these Terms as the product evolves. Material changes will be notified to you via in-product notification and email at least 14 days before they take effect. Continuing to use the service after the effective date means you accept the new Terms.
